1.2. Compliance Helpline
Rusan’s publicly available Compliance Helpline allows colleagues, suppliers, customers, and other third parties to report a concern or get information or advice anonymously (where permitted by law). The Helpline is operated by specially trained third-party representatives and can be reached by phone or online, 24 hours a day, every day.
1.3. Office of the Ombudsman
The Ombudsman at Rusan Pharma serves as an independent, neutral, and trusted resource to support employees and stakeholders in raising concerns, seeking guidance, and ensuring ethical conduct across the organization. The Ombudsman operates with impartiality, confidentiality, and authority, ensuring that disclosures are handled fairly and without retaliation.
The Ombuds will:
- Guidance & Information: Provide advice on policies, procedures, and compliance expectations.
- Independence & Authority: Act independently, access records and experts, protected from retaliation.
- Intake & Triage: Receive and log disclosures, listen to concerns, decide on formal inquiries.
- Investigation Oversight: Appoint and supervise investigators; ensure impartial and timely fact‑finding.
- Confidentiality: Safeguard identities, case materials and maintains confidentiality*; share only on a need‑to‑know basis or as required by law.
- Remediation & Escalation: Recommend corrective actions and escalate serious matters to the Board.
- Reporting: Provide anonymised summaries and metrics to governance bodies; support audits.
- Fairness: Remain neutral, ensure subjects can respond, prevent retaliation, and manage conflicts of interest.
*Conversations with the Ombuds are confidential except where the Ombuds determines that there appears to be an imminent risk of serious harm.

The Code outlines clear responsibilities for financial integrity, conflicts of interest, anti‑bribery, anti‑money laundering, fair competition, product quality, data protection, and human rights. It emphasizes accountability, transparency, and patient safety, supported by whistleblower protections, non‑retaliation safeguards, and structured reporting channels. Rusan’s Ethics & Compliance training program ensures that all employees, managers, officers, and board members understand and consistently uphold our standards of integrity. The program is designed to be learner‑centric and risk‑based, using live, virtual, and online formats tailored to roles and responsibilities. Scenario‑based materials make training practical, engaging, and relevant to everyday decision‑making.
Our online modules leverage modern instructional design and technology, supported by analytics to measure effectiveness and retention. Each learning experience emphasizes why compliance matters, reinforces Rusan’s values of Integrity, Quality, Innovation, Responsibility, and Sustainability, and highlights the importance of ethical culture in achieving our mission.
Training is mandatory for all employees upon joining and is refreshed regularly. The Board of Directors also participates in Code of Conduct training to ensure governance alignment. In addition, specialized training is provided on key topics such as responsible marketing, anti bribery and anti corruption, privacy, workplace conduct, diversity and inclusion, product quality, safety, and adverse event reporting.
To strengthen awareness, Rusan supplements training with targeted communications, leadership messages, compliance campaigns, and creative use of digital media. These reinforce ethical behaviour, highlight the importance of speaking up, and ensure that integrity remains central to our culture.
Rusan Pharma treats all reports of suspected or actual violations of company policy or applicable law with the utmost seriousness. Our objective is to respond promptly, assess concerns thoroughly, and address potential misconduct at the earliest stage to protect patients, employees, and stakeholders.
Every referable compliance issue, whether significant potential, suspected, or confirmed, is investigated impartially under the oversight of the Ombudsperson and Audit Committee. Where violations are substantiated, appropriate disciplinary measures are taken, ranging from counselling and warnings to termination or referral to regulators. Root cause analysis is conducted to prevent recurrence, and corrective and preventive actions are implemented in collaboration with accountable stakeholders.
Serious matters are escalated to senior governance bodies, including the Audit Committee and the Board, ensuring transparency, accountability, and continuous improvement. Investigations are conducted confidentially, with protections against retaliation, and outcomes are monitored until corrective measures are fully implemented.
